1. INTRODUCTION

Welcome to the BD Rewards Program ("BD Rewards," the "Program," or the "Program"). BD Rewards is a loyalty program offered by Black Diamond Equipment, Ltd. ("Black Diamond," "we," "us," or "our") that allows eligible customers to earn points through qualifying purchases and other eligible activities and redeem those points for rewards.

By enrolling in or participating in BD Rewards, you agree to these Loyalty Program Terms of Service ("Terms") and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms or our Privacy Policy, you should not enroll in or participate in the Program.

2. ELIGIBILITY AND ENROLLMENT 

Participation in BD Rewards is available to individuals who are at least 18 years old and maintain an eligible customer account with Black Diamond.  The BD rewards program is not open to customers with Pro Accounts.

The Program is void where prohibited by law. Black Diamond reserves the right to refuse enrollment or terminate participation in the Program if we determine that an individual does not meet the Program's eligibility requirements or has violated these Terms.

Participation in BD Rewards is free. Creating a Black Diamond account constitutes enrollment in the Program where the Program is available. Customers who have an existing Black Diamond account are not automatically enrolled in the Program and must separately opt in to participate.

3. EARNING POINTS

Members may earn BD Rewards points ("Points") through qualifying activities designated by Black Diamond.

Current eligible activities include:

  • Purchases: Earn 1 Point for every $1 spent on eligible merchandise. Account Creation: Receive 100 Points upon eligible Program enrollment.
  • SMS Subscription: Receive 25 Points for subscribing to eligible Black Diamond SMS marketing communications.
  • Product Reviews: Receive 25 Points for each eligible product review, up to a maximum of four (4) review rewards per calendar year.
  • Loyalty Anniversary: Receive 250 Points for celebrating your Program enrollment anniversary each year.

Black Diamond may offer additional opportunities to earn Points from time to time. Any such opportunities, including their applicable terms and expiration dates, will be communicated to eligible participants.

3.1 ELIGIBLE PURCHASES

Points are earned only on eligible merchandise purchased through Black Diamond's eligible e-commerce channels.

Points are not earned on: 

  • Taxes, including Duties and Customs
  • Shipping, handling, or other applicable fees; 
  • Gift cards, unless specifically designated as eligible by Black Diamond;
  • Purchases made using employee, professional, wholesale, or other restricted pricing, unless specifically designated as eligible by Black Diamond; or
  • Any other purchases or transactions specifically excluded by Black Diamond.

Black Diamond may exclude additional products, transactions, or categories from earning Points at its discretion.

Points are calculated based on the eligible purchase amount after applicable discounts and before taxes, shipping, and other excluded charges.

4. POINTS FOR PRODUCT REVIEWS 

Members may earn 25 Points for eligible product reviews, subject to the Program's limit of four (4) review rewards per calendar year.

Black Diamond reserves the right to determine whether a review qualifies for Points. Reviews must be genuine and comply with applicable review guidelines.

Points will not be awarded for duplicate, fraudulent, misleading, or otherwise ineligible reviews. Black Diamond may remove Points that were awarded in error or in connection with activity that violates these Terms.

5. POINTS AND ACCOUNT ACTIVITY 

Points are associated with the member's Black Diamond account and are not transferable between accounts.

Points have no cash value, cannot be redeemed for cash, and cannot be sold, bartered, transferred, assigned, or exchanged except as expressly permitted by Black Diamond.

Members may not create or maintain multiple accounts for the purpose of accumulating additional Points or rewards. Black Diamond reserves the right to correct a member's

Points balance if Points are awarded due to an error, technical issue, fraudulent activity, returned merchandise, cancelled transactions, or any other circumstance that results in an incorrect Points balance.

6. POINT EXPIRATION

Points expire twelve (12) months after the date on which they are earned, unless otherwise stated in a specific promotional offer.

Expired Points cannot be reinstated or exchanged for cash or other compensation.

Black Diamond may provide members with notices regarding upcoming Point expiration. Members are responsible for monitoring their Points balance and applicable expiration dates.

7. RETURNS, CANCELLATIONS, AND ADJUSTMENTS 

If a qualifying purchase is returned, cancelled, refunded, or otherwise reversed, any Points earned from that transaction will be deducted from the member's account.

If a member has already redeemed Points earned from a purchase that is subsequently returned or cancelled, Black Diamond may deduct the corresponding Points from the member's remaining balance or otherwise adjust the member's rewards balance to account for the reversal.

Black Diamond may also reverse or adjust Points associated with fraudulent, duplicate, erroneous, or otherwise ineligible transactions.

8. REDEEMING POINTS 

Members may redeem Points for rewards at the redemption levels made available by Black Diamond.

Black Diamond may change available rewards, redemption levels, or minimum purchase requirements from time to time.

Rewards may be redeemed only toward eligible purchases and are not redeemable for cash or cash equivalents such as gift cards.

9. REWARD RESTRICTIONS 

BD Rewards: 

  • May only be used by the member to whom they were issued; 

  • May not be transferred, sold, or exchanged for cash; 

  • May not be combined with other promotional discount codes or offers unless expressly permitted by Black Diamond; 

  • May not be used on sale or outlet merchandise; 

  • May be subject to additional product or transaction exclusions communicated at the time of redemption; and 

  • May be subject to minimum purchase requirements. 

BD Rewards cannot be used retroactively toward purchases made before the reward was redeemed.

Only one BD Rewards redemption may be applied to an eligible transaction unless otherwise expressly permitted by Black Diamond.

10. IN-STORE PURCHASES 

At launch, BD Rewards Points cannot be earned or redeemed through purchases made at Black Diamond retail stores or other physical retail locations.

Black Diamond may expand the Program to additional purchasing channels in the future and will communicate any applicable changes to members.

11. ACCOUNT AND PROGRAM PARTICIPATION

Members are responsible for maintaining the security and accuracy of the information associated with their Black Diamond account.

If a member closes their account, request data deletion or otherwise ceases to be eligible to participate in BD Rewards, any unused Points will be forfeited.

Points may not be transferred to another person or account after an account is closed.

12. FRAUD AND PROGRAM ABUSE 

Members may not engage in fraudulent, deceptive, abusive, or manipulative activity in connection with BD Rewards. 

Prohibited activity includes, but is not limited to:

  • Creating multiple accounts for the same individual; 

  • Providing false or misleading information; 

  • Attempting to earn Points through duplicate or fraudulent transactions; 

  • Manipulating reviews or other eligible activities; 

  • Using automated methods to interact with the Program; 

  • Selling, transferring, or attempting to transfer Points or rewards; 

  • Exploiting technical errors or unintended Program functionality; or 

  • Engaging in any activity that Black Diamond reasonably determines is intended to circumvent or abuse the Program. 

Black Diamond reserves the right to investigate suspected abuse and, where appropriate, suspend or terminate accounts, cancel Points or rewards, reverse transactions, or take other appropriate action.

13. PRIVACY 

Participation in BD Rewards is subject to Black Diamond's Privacy Policy.

By participating in the Program, members acknowledge that Black Diamond may collect and use information associated with their Program participation, including purchase activity, Point balances, redemption activity, account information, preferences, and other information provided through the Program.

Such information may be used to administer BD Rewards, provide personalized communications and offers, improve Black Diamond's products and services, and for other purposes described in Black Diamond's Privacy Policy.

14. CHANGES TO THE PROGRAM 

Black Diamond reserves the right to modify, suspend, or terminate BD Rewards, in whole or in part, at any time.

Changes may include modifications to:

  • The ways Points are earned; 

  • The number of Points awarded; 

  • Redemption requirements; 

  • Point expiration periods; 

  • Eligible products or transactions; 

  • Program eligibility requirements; or 

  • Any other aspect of the Program. 

Black Diamond will provide notice of material changes where required by applicable law.

Continued participation in BD Rewards after a change becomes effective constitutes acceptance of the revised Terms.

15. PROGRAM TERMINATION 

Black Diamond may terminate BD Rewards at any time, subject to applicable law.

If the Program is terminated, Black Diamond may establish a period during which members may redeem eligible Points or rewards before the Program ends. Any unused Points or rewards remaining after the applicable termination period may be forfeited.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Black Diamond is not responsible for errors, interruptions, delays, technical failures, or other issues affecting the administration or operation of BD Rewards.

Black Diamond reserves the right to correct errors and make reasonable adjustments to Points, rewards, or account balances resulting from technical or administrative errors.

Nothing in these Terms limits any rights or remedies that cannot legally be limited under applicable law.

17. GOVERNING LAW

These Terms and participation in BD Rewards are governed by the laws of the jurisdiction in which Black Diamond is headquartered, without regard to conflict-of-law principles, except where otherwise required by applicable law.

Any dispute arising out of or relating to these Terms or BD Rewards will be subject to the applicable jurisdiction and venue permitted under governing law.

19. ACCEPTANCE OF TERMS

By enrolling in or participating in BD Rewards, you acknowledge that you have read, understood, and agreed to these Terms and Black Diamond's Privacy Policy.

Black Diamond reserves the right to update these Terms from time to time. The most current version will govern participation in the Program.
